Dafney, Nicholas T.

Paul has extensive experience in the representation of lenders and borrowers in all types of financing transactions, including general commercial financing, asset-based financing, real estate financing, construction financing, issuance of credit enhancements in bond transactions, participations and intercreditor transactions. Paul also represents lenders in commercial loan workout matters and commercial foreclosures. He has advised clients in the formation of various entities, the acquisition and sale of businesses, the negotiation of joint ventures and other general business contracts.

Paul was named a Massachusetts "Super Lawyer" by Boston magazine and Law & Politics in 2005, 2006, 2007 and 2009.

Representative Matters

• Represented various lenders, including Sovereign Bank, Bank of America, Citizens Bank, TD Bank, Flagship Bank, Middlesex Savings Bank, Danversbank, Rollstone Bank, Boston Private Bank, Webster Five Cents Savings Bank, Commonwealth National Bank, Athol Savings Bank and Benjamin Franklin Bank in connection with middle market loans to privately-held businesses in amounts up to $75 million
• Represented a regional newspaper chain in the acquisition of a number of weekly and daily newspapers throughout New England and ultimately in its sale to a national media company
• Represented a housewares manufacturer in connection with a joint venture with a publicly-held multinational corporation
• Negotiated disputes among shareholders of privately-held businesses
• Was retained as an expert witness by a national insurance company in a legal malpractice trial involving commercial loan documentation
• Handled numerous loan workouts and foreclosures on behalf of creditors and debtors

Paul has participated as a panelist on a number of occasions with respect to commercial financing and has lectured on commercial law in a variety of educational settings.
