Leonard Pierce is a partner in the firm's Securities Department, a member of the Investment Management Practice Group and a member of the Dodd-Frank Whistleblower Working Group. He joined the firm in 1991.
Practice
Mr. Pierce’s investment management and securities practice focuses on representing institutional and entrepreneurial investment managers and private and registered investment funds in all aspects of their businesses. In addition to advising managers and fund complexes on federal securities and commodities law issues and compliance, his practice includes structuring and creating private and registered investment pools (both domestic and offshore); counseling principals on terms of management company partnerships and their operations; advising independent trustees/directors on securities and fiduciary law matters; converting funds to the master-feeder fund structure; preparing proxy statements, reorganization registration statements, and requests for exemptive relief; advising investment companies and their managers in the acquisition of privately placed debt and equity securities; and registering domestic investment companies for distribution and investment in various international countries.
Mr. Pierce has particular experience with strategic relationships, mergers and acquisitions, and lift outs of investment management businesses, representing both purchasers and sellers of such businesses.
Professional Activities
Mr. Pierce serves as the Chair of the Investment Committee of the Massachusetts Service Alliance, a private, nonprofit organization that serves as the Commonwealth of Massachusetts’ commission on community service, after previously being appointed by two governors of the Commonwealth to serve as a commissioner of the MSA.
Mr. Pierce is also a member of the Board of Directors and Vice President – Legal of the Boston Minuteman Council of the Boy Scouts of America.
He is a member of the Massachusetts and Boston Bar Associations, and a member of the Boston Bar Association’s Subcommittee on Investment Companies and Investment Advisers.
