BRIAN J. CATHEY currently focuses on commercial disputes litigation. Prior to joining the firm, Brian was an associate with Cravath, Swaine & Moore in its New York City office, where he focused on executive compensation and employee benefit matters, principally in connection with mergers and acquisitions and equity and debt offerings. In this role, Mr. Cathey advised U.S. and multinational clients on the interrelated tax, ERISA, securities law and corporate governance concerns generated by their compensation and benefits arrangements.

Mr. Cathey received his J.D. from the University of Michigan Law School, where he was a contributing editor of the Journal of Law Reform. During law school, Brian worked on behalf of indigent clients in various civil, criminal, and administrative forums as a student attorney at the Michigan Clinical Law Program. Mr. Cathey has the distinction of having scored the highest score on the Texas Bar Exam in February 2012.

Representative Experience

  • Advising U.S.-based multinational on executive compensation and benefits matters in connection with acquisition by private equity firm.

  • Extensive collaboration on briefs and trial preparation in representation of natural gas producer in suit against former contractor for breach of contract and fraud. The gas producer prevailed at trial and was awarded a multi-million dollar verdict.

  • Negotiating executive compensation and benefits provisions of credit facility agreement on behalf of lead arranger.

  • Performed research and collaborated on briefing that resulted in successful arbitration defense of oilfield service company against breach of contract claim seeking lost profits in excess of $120 million.

  • Advising initial purchasers on executive compensation and benefits matters in connection with high-yield secured debt offering.
