Cantwell, Robert D.

Mr. Cantwell specializes in numerous areas including Governmental Law and Relations (specializing in gaming law), Banking and Financial Institutions, Commercial Finance, Mergers and Acquisitions, Emerging Business Development, and Franchise Law.

Mr. Cantwell has represented clients ranging from "start-up" entities to publicly traded companies and international investment funds in various matters, including gaming acquisitions, gaming facility development, mergers, public and private debt offerings, business restructuring and franchising, and before various regulatory agencies in conjunction with gaming licensing, franchise registration and other business licensing matters.  He assists various financing institutions and borrowers with the structuring, negotiation and documentation of term and revolving credit facilities, working capital loans, acquisition loans and other financing arrangements.

Mr. Cantwell handles a variety of general entity governance and operational stability matters as well, advising boards of directors and management with respect to structure and internal and third party agreements with a focus on adding value.  He is licensed to practice in Missouri and Illinois.

Representative client engagements have included the following:

• Represented two international private equity funds in the largest gaming acquisition consummated, successfully obtaining state regulatory approval for the acquisition under a novel gaming structure with a multi-jurisdictional team of gaming counsel.
  
• Represented various publicly traded companies before the Missouri Gaming Commission and in negotiations with municipalities proposed for gaming developments from the RFP stage through breaking ground and licensing/opening of the gaming facilities.
  
• Assist various gaming operations with ongoing regulatory compliance matters and investigations.
  
• Represented clients before the Illinois Gaming Board under the novel Video Gaming Terminal laws recently pushed through the legislature.
  
• Represented national and international banks and equity funds (including some of the largest in the world) with regard to proposed acquisitions and financing matters.
  
• Represented various national and international franchisors with federal and state regulatory compliance and registration matters.
  
• Represented various emerging companies and proposed developments with private, public and municipal financing.
