Patricia Bland practices in the areas of business law and commercial transactions. She also handles taxation, real estate and estate planning matters. She received her undergraduate degree from Lindenwood University, her J.D., magna cum laude, from the University of Missouri - Kansas City School of Law, and also received her Master of Law in Taxation from UMKC.
A skillful writer, Ms. Bland produces comprehensive and thoughtful agreements such as shareholder agreements, LLC operating agreements, buy/sell agreements, stock purchase agreements, real estate contracts, employment agreements, and other transactional documents. Her efforts are driven by her dedication to producing a document that will be enforceable and cover all issues that may be at issue. She takes great pride in her work and the Firm's clients are the beneficiaries of her high intelligence and excellent education and experience.
In addition, Ms. Bland has successfully negotiated various business contracts relating to sales of goods and services, asset sales and purchases, real estate, and employment. She has assisted several closely held business entities implement succession plans, including transfers to existing employees as well as transfers to the next generation of family. Ms. Bland has also handled several labor disputes relating to discrimination and has researched issues relating to discrimination because of sex, age, and disability.
An outstanding researcher, she is comfortable and competent doing research in many areas and in particular tax law and how it affects estate planning, corporations, businesses, and family law matters.
Most recently she was a part of a team effort that involved complex corporate succession planning for a sole owner who desired to sell his company to current employees. This seller-financed succession plan required a stock purchase agreement, promissory notes, security agreements, and a negotiated shareholders agreement. Additionally, she has also provided advice and documents involving a merger of a non-public company which included over 50 different contracts.
Her ability to bring companies into compliance with state requirements demonstrates her attention to detail and her up to date knowledge of all legal requirements. She regularly reviews corporate records and activities to see that all were authorized and assists in updating corporate minutes.
Ms. Bland's skill set includes drafting corporate policy manuals and handbooks and assisting minority clients to obtain the minority status they need to be eligible for certain benefits. She has the talent and know-how to wind up failing businesses and to enhance growing ones.
She has published The Continuing Contingent Fee Tax Issue: Congress and the Supreme Court Fail to Provide Complete Relief to Taxpayers which has added to the body of legal knowledge in this important area.
A member of the Bar Association of Metropolitan St. Louis, the St. Charles Chamber of Commerce, and the Young Professionals of St. Charles, she is a true professional. She is a member of the Board of Directors of the St. Charles County Arts Council. She is actively involved in her church and in her free time enjoys playing volleyball, traveling and spending time with family. Ms. Bland is married to Luke and has a son, Elliott.
