Alex Badillo's practice encompasses many transactional areas, including mergers and acquisitions, securities offerings and compliance, venture capital transactions, private equity, and project finance. In the area of mergers and acquisitions, he has represented buyers and sellers in asset purchase, stock purchase, and merger transactions. He has represented private and publicly traded companies in general corporate matters and has advised clients on federal and state securities law compliance and disclosure issues as well as preparation of private placement memoranda, registration statements, and annual, periodic, and other securities compliance reports. Alex has counseled on issues affecting business growth for developing companies, including capital formation, stockholder agreements, licensing agreements, and employment agreements. He also has represented lenders of project financings in connection with the restructuring of projects located outside of the United States.
Alex is listed in Who's Who in American Law and Who's Who in America. He is coauthor of "Marriage Rehearsal: How to Prepare for the Deal," The Journal of Corporate Accounting & Finance, Volume 18, Number 2, January/February 2007. Alex is a co-professor of the Lex Mercator and Georgetown University Law Center online courses on mergers and acquisitions and legal and strategic due diligence.
