Dan Bacastow has assisted hospitals, hospital systems, and universities and their underwriters and conduit issuers in successfully structuring and implementing major tax-exempt financings for their capital needs for more than 27 years. He has served as bond counsel, underwriter's counsel, bank counsel, and borrower's counsel in financings and related transactions and has structured, negotiated, drafted, and implemented innovative fixed rate, variable rate, multimodal, and put bond financing structures. Dan has advised health care and university clients regarding continued compliance with tax-exempt bond document covenants, including in audits before the IRS, and counsels nonprofit institutions in implementing prudent investment strategies for tax-exempt bond proceeds.
Dan has recently served as bond counsel in financings through the South Dakota Health and Educational Facilities Authority, Illinois Finance Authority, and Iowa Finance Authority; as underwriter's counsel for Morgan Stanley, J.P. Morgan, Piper Jaffray, Banc of America, Merrill Lynch, Wells Fargo, and William Blair; as bank counsel for Wells Fargo Bank, JPMorgan Chase, and The Northern Trust Company; and as special finance counsel for Avera Health, Rapid City Regional, Presentation Health, and Sanford Health. Recent financings include major capital financings for Iowa Health, Rapid City Regional, Essentia Health, The Cleveland Clinic Foundation, Northwestern University, and Georgia Tech University.
Dan is a member of the American Health Lawyers Association and the National Association of Bond Lawyers and speaks regularly before industry groups regarding compliance and regulatory developments, including most recently on the causes and aftermath of the credit market crisis.
